Sales Policy

Possession of this price list does not constitute authority to purchase and/or sell products contained herein.

Pricing

All prices are subject to change without notice. All orders are accepted with the understanding that prices in effect at time of shipment will prevail.

Order Scheduling

Orders will be scheduled according to standard lead times at time of order entry.

Cancellations or Changes

All acknowledged orders are firm and binding are not subject to cancellation or change without written approval from Problem Solver. All requests for changes or cancellations must be in writing to the customer service department. Cancellations or changes requested after 10 working days following the order acknowledgment issued date are subject to charges equal to all expenses incurred prior to the receipt of the purchaser’s specific request for cancellation or changes. A minimum charge of 35% of total order will be assessed. Orders expedited through manufacturing and scheduled inside normal lead times are not subject to change or cancellation.

Terms of Sale

These terms are the only ones upon which Problem Solver will accept orders. The terms supersede all prior written understandings, assurances and offers. Purchaser must advise Problem Solver immediately if anything in the order acknowledgement is incorrect or otherwise unacceptable. Any provisions in Customer purchase orders contrary to the provisions herein will not bind Problem Solver unless specifically accepted in writing.

Product Changes

Problem Solver reserves the right to change its products without notice. Every effort will be made to keep the user informed when product, raw material or design changes occur.

Product Liability

Problem Solver shall not be liable for consequential, economic, or incidental damages arising from any product defect. This includes products in which changes or alterations be an installer or user have occurred, regardless of the reason or authority for such alterations. This includes improper installation and deviations from the prescribed installation procedure.

Warranty

A limited warranty backs Problem Solver products. Contact your dealer or sales representative for details.

Building Code Restrictions

The purchaser takes full responsibility for any and all municipal, state or federal building code or occupancy code compliance.

Transfer of Title

Unless otherwise provided in writing shipments by common carrier are made FOB manufacturing plant of origin, and the title transfers for such shipment when merchandise is loaded aboard a carrier at the plant. Problem Solver's responsibility for loss or damage in transit ceases when the carrier issues its receipt to Problem Solver.

Freight Terms

Prices shown are without freight. Please add the appropriate freight charge to your order:

• 1-34 Chairs: Add $350.00 net.

• 35 or more chairs: Add 7% of the total list price for freight.

Damaged Shipments/Shortages

Our terms of sale are F.O.B. point of manufacturing. Upon receipt of a shipment exhibiting visible damage to the product or packaging material, please follow the steps listed below to ensure that the carriers will process your freight claims promptly.

1. Accept all shipments. Please do not refuse the shipment, as this will only delay repair/replacement of the damaged product(s) and jeopardize claim settlement with the carrier.

2. Clearly note on the carrier’s freight bill if the damage is visible or if there is a carton count discrepancy, and obtain the driver’s signature.

3. Retain all packaging material.

4. Notify the carrier immediately, in writing for an inspection of the damage

5. Secure inspection report from the carrier.

6. Determine if product(s) can be repaired or require complete replacement.

7. Submit all claim documents to carrier for resolution, include photographs when possible.

8. Contact your Customer Service Representative to order necessary replacement products/parts.

IMPORTANT: Carriers must be notified with 15 days of receipt of shipment for any concealed damage claims.

Please be certain to open all cartons and inspect the product within these 15 days. If concealed damage is identified, contact the carrier immediately for an inspection and continue with the freight claim filing. We will assist you in filing a freight claim if necessary. When possible take photographs of the damage.

Return Goods Authorization

Return Goods Authorization is only available from Problem Solver Customer Service. Contact the Problem Solver Customer Service Department for proper authorization. Return shipments will not be accepted for any made-to-order products. Products returned that are not properly packaged and are subjected to damage will incur additional charges, or the return will not be granted.
